Why crypto projects are not interested in registering themselves with the SEC ???
Crypto Projects Are Not Interested in SEC Because...
What is problem in registration?
What is the real reason? Is there an example of a crypto that registered themselves as Security with the #SEC?
Yes, the example of it #Stacks
They began their journey by registering themselves as security in 2019 with the SEC and then unregistered themselves later in 2021.
As the project was dependent on the managerial capabilities of few individuals in those early day so they decided to start as security and later plan to unregister themselves as they become decentralized.
When you register yourself as security in US under 2019 token offering under Regulation A then:
no retail is allowed to trade in security in USA only accredited investors or entities with a net worth of at least $1 million or an annual income of at least $200,000 are allowed to trade.
At present crypto projects have no Incentive to regulate as security for reasons obvious:
1) Disclose all financial information like all traditional companies do. 2) If they do it even then citizen of US wont be able to trade, 3) No big exchange will list securities.
Hope you got the answer today that why crypto companies are hesitant to register as security.
